Senior Legal Counsel

About the role

This is the first legal hire for a leading global investment bank expanding into Australia. The Senior Legal Counsel will build the local legal function, supporting M&A and ECM transactions in the resources and energy sectors and overseeing corporate governance.

Key responsibilities

• Advise on M&A and ECM deals, including drafting transaction documents, valuation materials and regulatory filings.
• Draft and negotiate engagement letters, confidentiality agreements, indemnities and commercial contracts.
• Act as Company Secretary, managing statutory and board matters and ensuring compliance with the Corporations Act, ASIC requirements and ASX Listing Rules.
• Manage legal, conflicts and litigation risk in partnership with global Legal, Compliance and business teams.
• Brief and manage external counsel, develop precedents, policies and internal training.

Required profile

• At least five years’ post‑qualification experience in M&A, ECM or capital markets, gained at a leading law firm, investment bank or financial institution.
• Strong drafting and negotiation abilities and a working knowledge of Australian corporate and financial market regulation.
• Experience or capability in company secretarial work and an Australian practising certificate (or eligibility in Western Australia).
• Confidence to engage senior stakeholders and international teams.
