Senior Legal Counsel - Commercial Legal, APAC

About the role

Remote is hiring a Senior Legal Counsel for its Commercial Legal team, APAC, as an individual contributor with no management responsibilities. The role is the primary legal partner to the APAC sales teams, covering Terms of Service negotiation, contract redlining and commercial agreement review, and sits between a qualified opportunity and a signed contract. It is fully remote and reports to the Director, Legal - Commercial.

Key responsibilities

• Negotiate Terms of Service, redline contracts and review commercial agreements for APAC sales teams, prioritising responsiveness, brevity and clarity.
• Lead live negotiations with customers and their counsel on strategic and enterprise deals, including escalated matters involving customer paper and high-value ARR thresholds.
• Act as the Legal Primary DRI for APAC under the Legal Matter Framework, handling escalations in-region and in the right time zone.
• Support other regions as bandwidth permits, working with regional counsel.
• Partner with Sales, Finance and other teams to structure and review commercial agreements that meet business objectives and mitigate risk.
• Develop and improve templates, playbooks, processes and knowledge resources, including inputs for automated triage and self-service tooling.
• Train and guide internal stakeholders, especially APAC sales teams.
• Work with the Data Protection and AI Governance team on privacy and AI terms, and coordinate with local counsel when jurisdiction-specific advice is needed.

Required profile

• Proven expertise in commercial transactions, especially enterprise-level SaaS agreements, Terms of Service negotiations and sales contract reviews; experience supporting APAC sales teams is highly valued.
• Qualified to practise in an APAC jurisdiction; English is the working language, and additional APAC languages are an advantage.
• Comfortable across multiple APAC jurisdictions and legal traditions, knowing when local counsel is needed.
• Prior HR-tech experience or familiarity with bespoke HR services agreements is beneficial but not required.
• Ability to thrive in a fast-paced environment, work independently and collaborate with sales and cross-functional teams.

Required skills

• Strong commercial drafting and negotiation skills, able to lead negotiations directly with counterparties and their counsel.
• Experience with customer MSAs, bespoke terms and formal RFx processes.
• Comfort with automated triage and legal tooling, and interest in improving it.
