Legal Counsel – Commercial & Regulatory Affairs

About the role

Emesent is seeking its first dedicated in‑house legal and compliance professional. Reporting directly to the CFO, the Legal Counsel will establish and lead the legal and regulatory affairs function, supporting commercial activities, product certification, and employment law across the organisation.

Key responsibilities

• Draft, review and negotiate commercial agreements including customer contracts, reseller and channel partner agreements, OEM arrangements, procurement contracts and NDAs.
• Provide legal input on defence and government contracts, covering FAR/DFARS flow‑down provisions, CMMC requirements and sector‑specific compliance obligations.
• Support deal structuring for hardware‑as‑a‑service, subscription licensing and hybrid revenue models.
• Manage the contract lifecycle, including template maintenance, delegation of authority framework and contract risk assessment.
• Establish and maintain the company’s compliance register and product certification roadmap aligned with market‑entry strategy.
• Coordinate market‑access certifications (CE marking, FCC, ACMA, MIC and equivalents) with external bodies and testing laboratories.
• Lead trade and export compliance programmes, including ITAR/EAR, conflict minerals due diligence and sanctions screening.
• Conduct regulatory risk assessments for new market entries, product launches and customer channels.
• Handle customer‑driven compliance requests, due‑diligence questionnaires and partner onboarding.
• Develop and oversee data privacy and cyber‑security compliance for cloud products, covering GDPR, Australian Privacy Act and related regulations.
