Legal Counsel – Banking & Finance (Sydney)

About the role

We are seeking a commercially‑focused Legal Counsel to join a fast‑growing digital infrastructure business in Sydney. The role is ideal for a lawyer with 3‑5 years of post‑qualification experience in banking, finance or capital markets who wants to work on high‑impact financing and commercial transactions.

Key responsibilities

• Support a variety of financing transactions, including syndicated facilities, equipment finance, leasing arrangements and capital‑markets issuances.
• Provide advice on financing, commercial and regulatory matters, including securities filings and transaction documentation.
• Draft, review and negotiate commercial agreements such as confidentiality agreements, security documents, engagement letters, master services agreements and statements of work.
• Manage transaction execution from due diligence through to closing, including document verification and approvals.
• Oversee KYC, AML and counter‑party onboarding processes, coordinating with internal stakeholders, lenders and external advisers.
• Contribute to cross‑border financing transactions in a high‑growth environment.

Required profile

• Admission to practice law in Australia.
• 3‑5 years of experience in banking & finance or capital markets, either in private practice or in‑house.
• Strong technical, commercial and stakeholder‑management abilities.
• Proactive, adaptable and collaborative working style.
• Excellent communication, drafting and problem‑solving skills.
• Comfortable working in a fast‑paced, evolving environment.
