Lawyer – Venture Legal

About the role

Join a fast‑growing advisory firm that supports startups, tech companies and venture capital funds. As a commercially minded lawyer you will advise founders, investors and scale‑ups on the legal issues that arise as businesses are formed, funded and grown.

Key responsibilities

• Advise startups, founders and investors on seed and early‑stage raisings, drafting and negotiating shareholders’ agreements, subscription agreements, SAFEs, convertible notes and side letters.
• Support equity investments, secondary transactions and restructures, coordinating due diligence, execution and completion.
• Provide counsel on incorporations, corporate structures, founder equity, ESOPs, directors’ duties and Corporations Act requirements.
• Draft and negotiate commercial agreements and advise on IP, privacy and employment issues common to growth businesses.
• Manage day‑to‑day client relationships and build trusted connections across the startup ecosystem.

Required profile

• Law degree and admission as a solicitor in an Australian state or territory, with a current or eligible practising certificate.
• 2 to 8 years post‑qualification experience in corporate, commercial, venture capital, M&A, technology or a related practice.
• Experience at a top‑tier or leading mid‑tier firm is highly regarded.
• Strong drafting and negotiation skills with sound knowledge of corporations and contract law.
• Clear, plain‑English communication and confidence dealing with founders, executives and investors.
• Genuine interest in startups, technology and investment.

Required skills

• Drafting and negotiation of shareholders’ agreements, subscription agreements, SAFEs and convertible notes.
• Knowledge of Corporations Act, corporate governance and equity structures.
