Legal Counsel (Perth Relocation)

About the role

Mars Recruitment is recruiting, on behalf of a leading global investment bank, its first in-house Legal Counsel based in Perth. The bank is establishing and expanding an Australian-based capital markets platform, so the role supports investment banking, equity capital markets, research and sales and trading, and shapes the legal and governance framework of the new Australian entity. You will report to the Associate General Counsel based in London.

Key responsibilities

• Provide legal advice on equity capital markets (ECM) transactions and investment banking mandates, especially in the metals and mining sector
• Review, draft and negotiate engagement letters, terms of business, supplier agreements and other commercial contracts
• Act as Company Secretary and support corporate governance requirements
• Advise on laws, regulations and market rules, including the Corporations Act, ASIC requirements and ASX Listing Rules
• Partner with Investment Banking, Research, Sales & Trading, Compliance and Operations teams
• Help develop legal policies, frameworks and governance processes
• Manage relationships with external counsel and professional advisors
• Assist with regulatory matters, disputes, investigations and escalation of legal risks
• Collaborate with global legal teams across multiple jurisdictions

Required profile

• 4+ years' post-qualification experience in private practice and/or in-house legal roles in financial services, investment banking or capital markets
• Admission to practice law in Australia
• Experience supporting ECM, investment banking, corporate advisory or broader financial markets activities
• Familiarity with ASIC regulations, ASX Listing Rules and the Corporations Act

• Strong knowledge of Australian financial services regulation and capital markets frameworks
• Drafting, negotiation and stakeholder management
• Commercial judgment and collaboration with senior internal and external stakeholders
