Associate Corporate Lawyer (Manager)

About the role

PwC Australia is hiring an Associate Corporate Lawyer (manager level) in Sydney. The role guides organisations through complex corporate transactions, combining technical legal expertise with commercially focused advice, and works with founders, financial sponsors, major corporations, financial institutions, not-for-profit organisations and high-net-worth individuals.

Key responsibilities

• Deliver acquisitions, disposals and investments, with a focus on private M&A transactions
• Assist with the Australian aspects of cross-border corporate restructures
• Provide technical advice on the Corporations Act and the FIRB regime
• Draft and negotiate SPAs, prepare transaction documents and commercial contracts, and carry out and report on due diligence reviews
• Collaborate with commercial, financial, tax and other advisers to deliver holistic client solutions
• Build trusted relationships with clients and engagement teams
• Mentor junior team members and contribute to training, conferences and team initiatives

Required profile

• At least four years' post-qualification experience in corporate law
• Experience delivering private M&A transactions, drafting and negotiating SPAs and commercial contracts, and undertaking legal due diligence
• Technical knowledge of the Corporations Act and the FIRB regime
• Ability to manage client relationships and give pragmatic, commercially driven advice
• Desirable: experience with cross-border restructures, working with commercial, financial and tax advisers, and mentoring juniors

Required skills

• Strong black letter law knowledge and technical legal skills
• Contract negotiation and corporate structuring
