Senior Legal Counsel

About the role

ACCIONA is seeking a commercially astute Senior Legal Counsel to join its Sydney team. This pivotal position sits at the centre of major infrastructure investments, providing strategic legal guidance that directly influences project outcomes and financial performance.

Key responsibilities

• Advise on complex legal and commercial frameworks for long‑term PPPs, including state government‑backed performance regimes.
• Partner with financial sponsors and lenders to structure and negotiate multi‑million‑dollar equity and debt arrangements.
• Lead legal input during bid and origination phases, drafting and negotiating NDAs, exclusivity, consultancy and partnering agreements.
• Manage external counsel and oversee full project documentation suites, including project deeds, design‑construction (D&C) and O&M contracts, finance and equity agreements.
• Support assets through delivery and operations, advising on refinancing, claims, disputes and broader legal risk while ensuring ESG and contractual compliance.

Required profile

• 8–15 years post‑qualification experience in project finance, PPP/concession deeds, and/or construction law.
• Strong PPP experience, D&C front‑end and back‑end exposure, and project finance or equity experience.
• Extensive legal work on large‑scale infrastructure or renewable energy projects.
• Commercially astute with a solid grasp of investor priorities, capital structures and long‑term risk allocation.
• Confident communicator with proactive, pragmatic approach and strong stakeholder management.

Required skills

• Expertise in project finance and PPP legal frameworks.
• Knowledge of design‑construction contracts and operations‑maintenance agreements.
• Experience negotiating equity and debt financing arrangements.
