Private Equity Associate – Investment Funds & Private Equity

About the role

Conyers is seeking a motivated lawyer to join its Investment Funds and Private Equity team in the Cayman Islands. The role offers exposure to fund formation, high‑profile M&A transactions, and advisory work for leading private‑equity sponsors.

Key responsibilities

• Advise on fund formation across private equity, hedge, venture capital, digital assets and private credit strategies.
• Lead and support large downstream private M&A transactions on both buy‑ and sell‑sides.
• Provide counsel to institutional PE sponsors and emerging managers on Cayman fund structuring, registration and ongoing CIMA compliance.
• Draft and review offering documents, share purchase agreements, investment agreements and shareholders’ agreements.
• Conduct investor‑side due diligence on Cayman‑registered funds and target entities.
• Collaborate with partners, senior associates and cross‑practice teams, and engage directly with clients from day one.

Required profile

• 5‑7 years post‑qualification experience in funds and/or M&A at a recognised law firm.
• Admission or eligibility to be admitted to the Cayman Islands Bar (or equivalent jurisdictions such as England & Wales, Canada, Singapore, etc.).
• Strong academic record and excellent technical drafting abilities.
• Ability to manage competing priorities, work independently and as part of a team.
• Outstanding communication skills and an outgoing personality with interest in business development.
