About the role
EY-Parthenon is looking for a Manager or Senior Manager to lead complex sales and purchase agreement (SPA) advisory engagements for some of the world's largest organisations, fastest-growing companies and private equity firms. The role covers acquisitions and divestments across the Oceania and global markets, and is hybrid, based in Melbourne, Sydney or Auckland, with candidates able to work from any EY office in Australia.
Key responsibilities
- Lead and deliver complex SPA advisory engagements.
- Oversee end-to-end SPA support for acquisitions and divestments, including analysis of cash, debt and working capital, preparation of pricing schedules and review of Completion Accounts.
- Guide clients, legal advisers and banking teams so that financial mechanisms in the SPA match diligence findings and value drivers.
- Advise clients on optimal purchase price mechanisms such as locked box and completion accounts, using financial analysis, diligence outputs and market benchmarks.
- Help clients articulate data-driven positions and understand key valuation considerations during negotiations.
- Build relationships with senior stakeholders across private equity, corporate clients and internal EY teams, and proactively scope new engagements and lead multi-disciplinary teams.
Required profile
- Bachelor or master degree in accounting, business, finance or economics, and membership of the Institute of Chartered Accountants of Australia and New Zealand (CAANZ) or an international equivalent.
- At least 5 years of experience in a professional services or chartered accounting environment, or in a financial performance and analysis or M&A role at a corporate organisation.
- Experience building relationships with multiple clients and teams, and working with senior stakeholders in a transaction diligence or M&A setting.
- Interest in businesses, transactions and deal value drivers, and the ability to explain complex issues clearly to non-accountants.
What we offer
- Career development with future-focused skills.
- Flexible work arrangements.
- A benefits package including a yearly wellness incentive, an extra 8 weeks of flex leave per year, and up to 26 weeks of gender-neutral paid parental leave.
- A competitive salary open to negotiation depending on skills and experience.
