Legal Counsel – Private Equity

About the role

We are seeking a commercially‑focused Legal Counsel to join a leading Australian alternative asset manager. The role will provide in‑house legal support across private‑equity investments, fund structures and corporate governance, working closely with senior executives and investment teams.

Key responsibilities

• Provide practical legal advice on a wide range of commercial and corporate matters.
• Draft, review and negotiate commercial agreements such as technology, service provider, confidentiality, employment and operational contracts.
• Advise the investment team on acquisitions, disposals, co‑investments, financing, restructurings and other strategic transactions.
• Support the establishment and ongoing management of investment funds and related structures.
• Interpret and apply Australian financial services regulations, including the Corporations Act, AFSL obligations, AML/CTF, privacy and conflicts management.
• Prepare fund documentation, investment management agreements, subscription agreements and related legal paperwork.
• Assist with corporate governance, company secretarial duties, board papers, resolutions and ASIC lodgements.
• Manage relationships with external counsel and coordinate specialist advice as required.
• Identify legal and regulatory risks and deliver commercially pragmatic solutions.
• Contribute to the development of legal policies, governance frameworks and internal processes.

Required profile

• LLB or JD with admission to practise law in Australia.
• 5‑10 years post‑qualification experience in a top law firm or in‑house legal team.
• Strong background in corporate, commercial and transactional matters.
• Experience in investment management, private equity, private credit, infrastructure, banking or broader financial services is highly regarded.
• Demonstrated ability to advise on Australian financial services regulation.
• Excellent communication and stakeholder management skills.
