Commercial Counsel (Remote, Australia)

About the role

Crosby is an AI-native law firm that helps companies like Cursor, Ramp and Cognition sign commercial contracts faster, using its own tools and human-in-the-loop workflows. This Commercial Counsel role sits at the centre of modern deal-making: you review and negotiate the commercial contracts that get deals to signature, direct the firm's tooling over each contract and own the outcome end to end. It suits a lawyer who wants to apply AI to their own practice, values quality execution and prefers leverage over billable hours.

Key responsibilities

• Review and negotiate commercial contracts quickly and precisely, spotting obligations, risks and off-market terms.
• Collaborate with other Crosby legal team members to interpret terms and surface anomalies and edge cases.
• Identify inefficiencies and recurring patterns in how contracts are reviewed and turn them into improvements.
• Help standardise and codify recurring contract types and playbooks.
• Partner with engineering and operations to evolve the legal service delivery model.

Required profile

• Admitted to practice and in good standing in at least one US state.
• Australian practising certificate, or foreign lawyer registration (or eligibility to register).
• Australian citizenship, permanent residency, or a visa with unrestricted work rights (sponsorship is not available).
• 4+ years reviewing US commercial contracts in private practice or in-house.
• Attention to detail, sound commercial judgment and ability to spot buried clauses and wrong cross-references.
• Clear writing and speaking, able to explain a hard call simply.
• Comfortable in a fast-paced, sometimes ambiguous environment and already tinkering with AI.
