Corporate Counsel

About the role

Smartsheet is looking for a business‑focused Corporate Counsel to join its global legal team. Based in Sydney and remote‑eligible, you will support Go‑To‑Market and People functions across the APAC region, helping the company grow while protecting its legal interests.

Key responsibilities

• Negotiate, draft and review commercial agreements for online subscription software, data privacy, IP use and professional services.
• Collaborate with global Legal and People teams on employment law matters.
• Provide strategic advice on corporate governance and other evolving legal projects.
• Work with legal colleagues worldwide, both attorneys and non‑attorneys.
• Identify legal risks and propose commercially appropriate mitigation solutions.
• Improve document templates, language playbooks and internal resources.
• Deliver training and guidance on legal issues, best practices and company policies.
• Support general business operations and respond to non‑sales assistance requests.
• Complete special projects and other duties as required.

Required profile

• Admission to practice in an Australian jurisdiction with a current or readily obtainable practising certificate.
• 5+ years post‑qualification experience, ideally a mix of private practice and in‑house work.
• 5+ years drafting and negotiating technology contracts such as SaaS, software licences, development and IT services agreements.
• Direct experience advising sales and business teams on customer contracts.
• Substantive experience handling employment matters.
• Strong analytical ability to balance legal and business risks.
• Proven relationship‑building skills across business units.
